These Terms and Conditions (“Terms”) govern access to and use of the Hogahero website, available at www.hogahero.com, and the services provided by Hogahero LLC.

These Terms apply to website visitors, registered users, property and business owners, professional brokers, agencies, authorized representatives, advertisers, and other users of the platform.

By creating an account, submitting a listing or professional profile, purchasing a service, or otherwise using the platform, users agree to comply with these Terms to the extent permitted by applicable law.

Additional policies, including our Privacy Policy, Cookie Policy, User Content & Marketplace Policy, Listing Disclaimer, and Refund Policy, may apply to specific services.

If you do not agree with these Terms, you should not register for an account or use services requiring acceptance of these Terms.

3. Nature and Purpose of the Platform

Hogahero is an international digital publishing and advertising platform dedicated to the hospitality industry.

The platform provides opportunities to publish and discover hospitality-related information, including:

Hotels, resorts, restaurants, bars, and other hospitality properties offered for sale or lease
Hospitality businesses offered for sale or lease
Professional profiles of hospitality brokers and agencies
Editorial articles, industry insights, and hospitality-related information

The availability of individual categories and services may change over time.

Hogahero provides publishing, advertising, and technical communication services.

Hogahero is not a real estate brokerage, business brokerage, recruitment agency, investment advisor, legal advisor, or financial intermediary.

Hogahero does not represent buyers or sellers, negotiate transactions on behalf of users, determine transaction terms, collect property purchase deposits, or act as a party to transactions between users.

Any agreements, negotiations, inspections, due diligence, payments, or transactions concerning advertised properties or businesses are the responsibility of the parties involved.

4. Eligibility and Registration

Users must be at least 18 years old and legally capable of entering into binding agreements to register for an account or purchase listing services.

Where users act on behalf of a company, property owner, or other organization, they represent that they have the authority to do so.

Users agree to provide accurate and current registration information and to update their information when necessary.

Users are responsible for maintaining the confidentiality of their login credentials and for activity conducted through their accounts, except where responsibility cannot lawfully be assigned to them.

Accounts may not be transferred or used to impersonate another individual or business without authorization.

Hogahero may require reasonable verification of account, professional profile, or listing information where necessary to prevent fraud, misuse, or legal violations.

5. User Profiles and Professional Information

Registered users may voluntarily provide additional professional information, contact details, photographs, company descriptions, and links to external websites or social media profiles.

Professional brokers and agencies must provide accurate information about their business activities, professional identity, and affiliations.

Hogahero may request an active business website, verifiable agency affiliation, business registration, or other reasonable evidence of professional activity.

Hogahero reserves the right to review, approve, reject, suspend, or remove professional profiles and submitted listings in accordance with its platform policies and applicable law.

Registration or submission of a professional profile does not guarantee publication, continued visibility, or endorsement by Hogahero.

Professional brokers and agencies remain responsible for obtaining and maintaining any licenses, registrations, or authorizations required in the jurisdictions where they operate.

Hogahero does not routinely verify professional credentials or licensing status unless required by applicable law. Publication of a profile does not constitute professional certification, accreditation, or endorsement.

Private owners advertising their own properties or businesses are not required by Hogahero to maintain a professional business website, but remain responsible for complying with applicable legal requirements.

Certain profile information may be publicly visible, depending on the platform’s functionality and the user’s selected settings.

The collection and processing of personal information are described in our Privacy Policy.

6. Listings and User-Generated Content

Users may submit hospitality property and business listings, professional profiles, and other permitted content through the platform.

By submitting content, users confirm that:

They are the owner, authorized representative, or otherwise legally entitled to publish the listing or profile.
They have the necessary rights to use submitted photographs, videos, descriptions, trademarks, and other materials.
Information is accurate to the best of their knowledge and is not intentionally misleading.
Advertised properties or businesses may lawfully be offered.
The content does not violate applicable laws or third-party rights.
Any required permissions, licenses, or authorizations have been obtained.

Users must not publish fraudulent, discriminatory, defamatory, unlawful, or otherwise prohibited content.

Listings and profiles must not contain malicious software, deceptive links, unauthorized personal information, or material that infringes intellectual property rights.

Hogahero may review, reject, edit, suspend, or remove content where reasonably necessary to enforce these Terms, comply with legal obligations, or protect the platform and its users.

Hogahero does not undertake to independently verify every listing or professional profile or guarantee the accuracy, ownership, legality, availability, or commercial viability of advertised opportunities.

7. Standard Listings

Hogahero currently offers standard hospitality property and business listings free of charge.

The availability, duration, presentation, and features of free listings are determined by the platform’s current service configuration.

Free listings do not guarantee a particular position in search results, a minimum number of views, inquiries, or successful transactions.

Hogahero may modify the features or pricing of free listing services prospectively, subject to applicable law and any existing contractual commitments.

Any future charges for previously free services will be communicated before users are required to purchase or renew a paid service.

8. Confidential and Off-Market Listings

Hogahero offers paid Confidential / Off-Market Listing services for hospitality properties and businesses.

These services provide an alternative advertising format in which selected identifying information may be withheld from public presentation.

The specific features, publication period, price, and conditions are communicated before purchase.

Unless otherwise stated in the applicable offer, the current Confidential / Off-Market Listing service has a publication period of 12 months.

Confidential publication does not guarantee complete anonymity. Information may be recognizable from descriptions, images, location details, or other publicly available sources.

Users remain responsible for determining which information may be disclosed and for ensuring that they have the authority to publish it.

Hogahero does not provide buyer qualification, transaction negotiation, brokerage representation, or a guarantee of confidentiality beyond the specific publishing arrangements agreed upon.

9. Listing Duration, Expiration, and Removal

Listings are published for the duration specified in the applicable service offer or platform configuration.

Upon expiration, a listing may be removed from public display, marked as expired, or made unavailable to visitors.

Expired listings may remain temporarily stored in the user’s account or platform administration system for renewal, account administration, or other legitimate operational purposes.

Hogahero may remove expired or inactive listings in accordance with its applicable policies and legal obligations.

Users should retain their own copies of important listing information and uploaded materials.

Unless expressly agreed otherwise, listing services do not renew automatically.

Hogahero may remove or suspend listings before their scheduled expiration where necessary to address violations, legal requirements, fraud, security concerns, or other legitimate grounds.

10. Pricing and Paid Services

Hogahero may charge fees for selected publishing, advertising, or promotional services.

Applicable prices, service features, and publication periods are displayed or communicated before an order is placed.

Prices may be changed for future purchases. Changes do not retroactively alter the agreed price of an existing order unless permitted by the applicable contract and law.

Unless expressly stated otherwise, fees relate to the provision of advertising or publishing services and are not contingent upon a sale, lease, inquiry, or other commercial outcome.

Hogahero does not charge brokerage commissions through its listing services.

11. Orders, Invoicing, and Payment

Paid services are currently arranged through manual invoicing.

After an order or payment request is submitted, Hogahero may issue an invoice containing the applicable payment instructions.

Submitting an order does not by itself confirm that payment has been received or that publication has been approved.

Unless otherwise agreed, paid publication may be conditional upon receipt of payment and acceptance of the submitted content.

Users are responsible for providing accurate billing information and paying applicable charges by the stated due date.

Hogahero may suspend or decline paid services where payment remains outstanding, subject to applicable law.

Applicable taxes, where required, will be addressed in accordance with relevant tax laws and the terms of the transaction.

12. Cancellations and Refunds

Cancellation and refund requests are governed by our separate Refund Policy and any mandatory consumer protection laws that apply to the transaction.

The availability of a refund may depend on the nature of the service, whether publication has begun, the circumstances of cancellation, and applicable legal requirements.

Nothing in these Terms excludes statutory cancellation, withdrawal, or refund rights that cannot lawfully be waived.

13. Inquiries and Viewing Requests

Visitors may contact listing owners, brokers, agencies, or other authorized representatives through inquiry forms or viewing request features available on the platform.

These features facilitate communication and do not constitute a booking confirmation, brokerage appointment, or binding transaction agreement.

A request submitted through a form does not guarantee that a viewing, meeting, or video call will take place.

Listing owners and representatives are responsible for responding to inquiries and arranging any subsequent communication or appointments.

For certain confidential listings, Hogahero may receive inquiries for administrative forwarding without assuming responsibility for transaction negotiations or representation.

The handling of personal information submitted through inquiry forms is described in our Privacy Policy.

14. Independent Verification and Due Diligence

Users considering purchasing, leasing, investing in, or otherwise entering into agreements relating to advertised properties or businesses are responsible for conducting appropriate independent due diligence.

This may include verifying:

Ownership and authority to sell or lease
Property titles and legal documentation
Business licenses and operating permits
Financial statements and commercial performance
Tax liabilities and outstanding obligations
Property condition and legal restrictions
Zoning, land use, and development permissions
Applicable foreign ownership and investment restrictions
Professional credentials and authority of representatives

Users should seek independent legal, financial, tax, and technical advice where appropriate.

Hogahero does not provide warranties regarding investment returns, property values, legal status, or the outcome of transactions.

15. Prohibited Activities

Users must not:

Publish fraudulent or deliberately misleading listings or profiles
Impersonate another person, company, broker, or agency
Advertise properties or businesses without appropriate authorization
Misrepresent professional qualifications, licenses, or affiliations
Upload unlawful or infringing content
Use the platform for scams, money laundering, or other illegal activities
Attempt unauthorized access to accounts or systems
Introduce malware or interfere with website operations
Use automated systems to create fraudulent accounts or submit spam
Harvest personal information for unauthorized purposes
Misuse inquiry forms for unsolicited or unlawful marketing
Circumvent platform security or access restrictions

Hogahero may take appropriate action against prohibited activities, including content removal, account suspension, and reporting to competent authorities where legally justified.

16. Intellectual Property

The Hogahero name, trademarks, branding, website design, original editorial content, and other proprietary materials belong to Hogahero LLC or their respective rights holders.

Users may not reproduce, redistribute, commercially exploit, or otherwise use protected platform materials without authorization, except where permitted by law.

Users retain ownership of the content they submit.

By submitting content, users grant Hogahero a non-exclusive, worldwide, royalty-free license to host, reproduce, format, display, publish, and distribute submitted materials as reasonably necessary to operate and promote the platform and the relevant listings or professional profiles.

This license includes publication on the Hogahero website, social media promotion, newsletters, and related marketing materials.

Users confirm that they hold the necessary rights to grant this license.

The license does not transfer ownership of submitted content to Hogahero.

The license generally ends when the relevant content is removed from the platform, subject to lawful recordkeeping, technical backups, and promotional materials already distributed or published.

17. Third-Party Services and External Links

The platform may contain links to third-party websites, social media profiles, video platforms, mapping services, and other external resources.

Hogahero does not control the content, availability, business practices, or privacy policies of independent third-party services.

Users access external services at their own discretion and should review the applicable terms and policies.

18. Platform Availability and Technical Limitations

Hogahero aims to maintain a functional and accessible platform but does not guarantee uninterrupted or error-free operation.

Temporary interruptions may occur due to maintenance, hosting issues, software updates, security incidents, or circumstances beyond our reasonable control.

Hogahero may modify technical features or temporarily restrict access where necessary to maintain security and functionality.

Nothing in this section limits rights or remedies that cannot lawfully be excluded.

19. Account Suspension and Termination

Hogahero may suspend, restrict, or terminate accounts where reasonably necessary due to:

Violations of these Terms
Fraudulent or misleading activity
False professional identities or unauthorized representations
Illegal content or conduct
Security risks or technical misuse
Failure to comply with applicable legal obligations
Other legitimate grounds consistent with applicable law

Where required, users will be informed of relevant restrictions and available review or complaint procedures.

Users may request or initiate account deletion through available account features or by contacting Hogahero.

Account deletion does not automatically cancel outstanding payment obligations or remove records that must lawfully be retained.

20. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the platform and its content are provided on an “as available” basis.

Hogahero does not guarantee the accuracy, completeness, reliability, commercial value, or continued availability of user-submitted listings or professional profiles.

Hogahero does not guarantee that listings or professional profiles will generate inquiries, sales, leases, investments, business contacts, or other commercial results.

Any warranties or rights that cannot lawfully be excluded remain unaffected.

21. Limitation of Liability

To the maximum extent permitted by applicable law, Hogahero shall not be liable for indirect, incidental, special, or consequential losses arising from use of the platform, including lost profits or lost business opportunities.

Hogahero is not a party to agreements or transactions concluded independently between users and does not assume contractual responsibility for their performance.

Nothing in these Terms excludes or limits liability for fraud, intentional misconduct, or any other liability that cannot legally be excluded or limited.

22. Changes to Services and Terms

Hogahero may modify its services, categories, features, pricing structures, and technical functionality.

Changes affecting existing paid services will be handled in accordance with the applicable agreement and mandatory law.

We may update these Terms to reflect legal, operational, or business developments.

Material changes will be communicated where required by applicable law.

Updated Terms will be published with a revised effective date.

23. Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, United States, subject to mandatory legal protections that may apply to users in other jurisdictions.

Nothing in these Terms deprives consumers of mandatory protections available under the laws applicable to their place of residence.

The parties should first attempt to resolve disputes concerning Hogahero’s own services through direct communication.

Any rights to pursue legal proceedings, regulatory complaints, or alternative dispute resolution under applicable law remain unaffected.

24. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue to apply to the extent permitted by law.

An invalid provision shall not affect the enforceability of other independent provisions.
